2. Eligibility

4. Fees and Payment

• Billing: We use Dodo Payments as our third-party payment processor. By subscribing, you agree to their terms and conditions.
• Subscriptions: Fees are billed in advance on a recurring basis (monthly or annually).
• Refunds: Except as required by law, paid subscription fees are non-refundable.
• Changes: We reserve the right to change our fees at any time with reasonable notice.

5. Intellectual Property

5.1 Our Rights

The Service, including its original content, features, and functionality (excluding user-provided logos and links), are and will remain the exclusive property of QRubix Inc.

5.2 Your Rights

You retain ownership of all branding assets (logos) and destination URLs you provide to the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, and display your assets solely for the purpose of providing the Service (e.g., generating and displaying your QR codes).

6. Prohibited Activities

You agree not to use the Service for:

• Any unlawful purpose or to promote illegal activities.
• Phishing, distributing malware, or deceptive practices.
• Infringing on the intellectual property rights of others.
• Spamming or sending unsolicited communications via QR codes.
• Attempting to bypass security measures or reverse engineer the Service.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

8. Limitation of Liability

In no event shall QRubix Inc., nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of your access to or use of the Service. Our total liability for any claim arising out of these terms shall not exceed the amount paid by you to us in the 12 months preceding the claim.

9. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
